Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Sagittarius Labs LLC (“Sagittarius Labs,” “we,” “us,” or “our”), concerning your access to and use of our services, including but not limited to our website and any associated content, tools, and features (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

Eligibility

The Services are intended for users located in the United States. By accessing the Services, you represent and warrant that:

You are of legal age to form a binding contract in your state of residence.
You are using the Services in compliance with all applicable laws and regulations.
You have the authority to agree to these Terms if you are using the Services on behalf of an organization.

The Services are designed for working professionals, and as such, are generally intended for users aged 18 and older.

User Accounts

To access certain features of the Services, you must register using single sign-on (SSO) through providers such as Google, Microsoft, Okta, or OneLogin. During registration, you must also provide valid payment details. You agree to:

We reserve the right to suspend or terminate accounts that are deemed to violate these Terms.

User Content

By doing so, you grant Sagittarius Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display your User Content in connection with the Services and Sagittarius Labs’ business operations, for the duration of the Services and for purposes necessary to provide and improve the Services.

You represent and warrant that:

You own or have the necessary rights to upload the User Content.
Your User Content does not infringe on the rights of any third party or violate applicable law.

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

Privacy & Data Handling

Our collection, use, and disclosure of your personal data are governed by our US-Wide Privacy Policy & Notice. By using the Services, you consent to such practices.

Our Privacy Policy complies with applicable federal and state-specific regulations, including but not limited to the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR).

Payment Terms

If applicable, you agree to pay all fees associated with the Services as specified during the registration or purchase process. All payments are non-refundable unless otherwise stated.

We reserve the right to modify pricing at any time. Any changes will be communicated to you before they take effect.

Prohibited Conduct

You are granted a limited, non-exclusive, non-transferable license to access and use the Sagittarius Labs Content for your personal, non-commercial use.

Modify, copy, or distribute the Sagittarius Labs Content without prior written consent.
Use the Sagittarius Labs Content for any commercial purpose without our explicit permission.

Service Availability and Performance

We strive to provide reliable access to the Services. However, we do not guarantee uninterrupted or error-free operation. Planned maintenance or updates may result in temporary service interruptions, and we will provide notice where feasible.

Data Portability and Export

You may request to export your data from the Services at any time, subject to applicable data retention and export procedures. Upon account termination, we will retain data only as required by law or our internal policies. We encourage users to back up their data regularly.

Indemnification

You agree to indemnify, defend, and hold harmless Sagittarius Labs, its affiliates, officers, employees, and agents from and against any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.

Force Majeure

Sagittarius Labs shall not be held liable for delays or failure to perform resulting from causes beyond our reasonable control, including but not limited to severe weather events, natural disasters, government actions, labor disputes, internet service disruptions, pandemics, acts of terrorism, and cybersecurity breaches.

Confidentiality

You agree to maintain the confidentiality of any non-public information we disclose to you in connection with the Services. This includes business practices, technical information, and proprietary data.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Sagittarius Labs may assign these Terms without restriction, including during a merger, acquisition, or sale of assets.

Third-Party Services/Integrations

Our Services may integrate or interact with third-party services. Sagittarius Labs is not responsible for the availability, accuracy, or performance of third-party services and disclaims any liability arising from your use of such services.

Security Obligations

We implement reasonable security measures to protect user data. In the event of a security breach, we will notify affected users as required by law. You agree to promptly report any suspected vulnerabilities or breaches related to your use of the Services.

Auto-Renewal Terms

Subscription-based services will auto-renew unless you opt out before the renewal date. We will notify you of upcoming renewals, and you may cancel auto-renewal through your account settings. We comply with state-specific automatic renewal laws, including providing clear notices of upcoming renewals and offering simple cancellation methods through your account settings or by contacting us at least 3 business days before renewal.

Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sagittarius Labs disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Sagittarius Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, resulting from:

Your use or inability to use the Services.
Unauthorized access to or use of our servers and/or personal data.

Our total liability for any claims under these Terms is limited to the amount you paid us to use the Services. This limitation does not exclude liability for personal injury, death, or other damages where exclusion is prohibited by law.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Termination

We may suspend or terminate your access to the Services at our sole discretion, without notice or liability, if you violate these Terms. Upon termination, your right to use the Services will immediately cease.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms or the Services will be resolved through binding arbitration in Dover, Delaware. Arbitration will be conducted in accordance with the Federal Arbitration Act and applicable rules.

Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
